### Article 2 (Scope of Application)

1. These Terms apply to the Company and the Customer under the Agreement. The Customer shall conclude the Agreement with the Company after agreeing to all of the content of these Terms. By agreeing to these Terms, the Customer agrees that the matters set out in these Terms form the content of the Agreement.
2. The Company may establish Other Rules by posting them on the Website or by any other method prescribed by the Company. The Other Rules form part of these Terms. However, if these Terms and the Other Rules differ, these Terms prevail.

### Article 3 (The Service)

1. Only during the term of the Agreement, within the scope permitted under the Agreement and in accordance with the methods prescribed by the Company, the Customer may use the Service and may have its employees and related persons use the Service as Users in the manner the Service contemplates. The Customer shall cause its Team Owner to have Users comply with these Terms, agrees that use of the Service by Users is in all cases deemed to be its own use, and bears all responsibility to the Company for such use.
2. The detailed specifications of the Service are determined separately by the Company. The Company may change the specifications of the Service, including by improvement, addition or deletion, and the Customer consents to this in advance. The Company may also entrust the performance of the Service to third parties as necessary. In that case, the Company shall manage such contractors responsibly.
3. The Customer shall prepare the Usage Environment at its own responsibility and expense.
4. The Company will make commercially reasonable efforts to ensure that data output through use of the Service is accurate, but does not guarantee its accuracy. The Customer shall always check the content of data output through use of the Service in advance and use it at its own responsibility.
5. The Company will make commercially reasonable efforts to ensure that the content of the Service complies with laws and regulations, but does not guarantee such compliance. The Customer shall always check the content of the Service in advance during the free trial period and use it at its own responsibility.
6. In addition to paragraph 4 and the preceding paragraph, the Company gives no warranty whatsoever regarding the following. Even if the Customer obtains information about the Service from the Company directly or indirectly, the Company gives the Customer no warranty beyond what is set out in these Terms.
     - (1) that no malfunction or failure will occur in the Usage Environment as a result of use of the Service;
     - (2) that the Service is accurate and complete;
     - (3) that the Service will operate permanently;
     - (4) that the Service is fit and useful for any particular purpose of the Customer;
     - (5) that the Service complies with laws and regulations, internal rules of industry associations, etc. applicable to the Customer.

### Article 4 (Application)

1. An Applicant shall apply for the conclusion of the Agreement by the method prescribed by the Company after agreeing to the content of these Terms. The Applicant warrants that all Registration Information is accurate.
2. The Company decides whether to accept an Applicant's application according to criteria prescribed by the Company. If it accepts the application, it notifies the Applicant to that effect together with information prescribed by the Company. The Agreement is formed between the Customer and the Company from the contract start date specified in that notice.
3. The Company may refuse an Applicant's application if the Applicant falls under, or the Company judges that the Applicant falls under, any of the following. The Company is not obliged to disclose the reasons for that judgment.
     - (1) the application for registration was not made by the method prescribed by the Company;
     - (2) all or part of the Registration Information contains false statements, errors or omissions;
     - (3) the Company judges that there is a risk of violation of these Terms;
     - (4) the Company judges that the Applicant has violated these Terms in the past or is related to a person who has;
     - (5) the Company otherwise judges the registration to be inappropriate.
4. If any Registration Information changes, the Customer shall immediately complete the procedure to change it by the method prescribed by the Company. The Company bears no liability whatsoever for any damage the Customer suffers from failing to do so.

### Article 5 (Management of Account Email Addresses and Passwords)

1. The Company issues email addresses and passwords for Dive accounts by the start date of the Agreement (the initial settings are based on the email address and password the Customer registered when applying for the Agreement).
2. When the Customer wishes to add, delete or change Account Email Addresses and Passwords, it shall apply by the method prescribed by the Company.
3. The Customer shall appropriately manage and keep Account Email Addresses and Passwords at its own responsibility, and shall not disclose them to or let them be used by any third party, nor lend, assign, sell or pledge them as security.
4. If the Company confirms by a prescribed method that the email address and password used at login match those registered, the Company deems the person who logged in to be the genuine Customer or User.
5. The Company bears no liability whatsoever for any damage the Customer suffers from the Customer's insufficient management, errors in use, unauthorized use, etc. of Account Email Addresses and Passwords.

### Article 6 (Usage Fees and Payment Method)

1. As consideration for use of the Service, the Customer shall pay the Company the usage fees set out in the Agreement, in accordance with the payment method set out in the Agreement, by the payment due date set out in the Agreement.
2. Regardless of the reason, even if the Customer becomes unable to receive, or no longer needs to receive, the Service during the term of the Agreement, the Company cannot refund the usage fees.
3. If the Customer delays payment of usage fees, it shall pay the Company late payment damages at the rate of 14.6% per annum.
4. If it becomes necessary to change the usage fees because of changes in the content of the Service, business reasons, the enactment, amendment or abolition of laws, changes in economic conditions, etc., the Company may change the usage fees in accordance with Article 19.
5. The Company may provide some functions of the Service free of charge. However, the Company may at any time make the Service chargeable in accordance with Article 19.

### Article 7 (Free Trial)

1. From the start date of the Agreement, the Customer shall try the Service for the free period separately notified on the Service (the "Free Trial", and that period, the "Free Trial Period") and consider whether to use the Service on a paid basis.
2. If, as a result of the Free Trial, the Customer decides to use the Service on a paid basis, it shall apply to the Company for paid use within the Free Trial Period (the "Application Period"). The functions of the Service are limited during the Application Period.
3. If paid use is applied for within the Application Period, usage fees accrue from the date of the application for paid use (not from the start date of the Application Period, because the functions of the Service are limited during the Application Period).
4. If paid use is not applied for within the Application Period, the Agreement ends on the last day of the Application Period. In that case, no usage fees arise for the Application Period.
5. Where paid use is not applied for, none of the matters the Company assures to the Customer under these Terms are assured during the Free Trial Period or the Application Period.
6. After the Customer ends a paid contract, the Company may provide a free plan with functions limited to the extent prescribed by the Company (the "Free Plan"). The content, conditions of provision and period of use of the Free Plan may be changed, added to or ended at the Company's discretion, and the Customer consents to this in advance.
7. The Free Plan is provided outside the term of the Agreement, and Article 13 (Contract Term) and the other provisions of the Agreement concerning paid use do not apply to it. However, some provisions, such as Article 11 (Prohibited Acts), Article 17 (Confidentiality) and Article 18 (Handling of Personal Information), also apply to use of the Free Plan.

### Article 8 (Plan Changes and Cancellation)

1. The Customer may change the plan of, or cancel, the Agreement in accordance with the procedures prescribed by the Company.
2. Upgrades or downgrades of the plan shall be made by the method separately designated by the Company.
3. If, after concluding a contract for paid use, the Customer cancels the contract on or before the expiration date of the contract term, the Customer shall pay the amount for the period of the month in which the cancellation date falls. However, this does not apply if the cancellation is attributable to the Company.

### Article 9 (Ownership of Rights)

1. All Intellectual Property Rights, etc. relating to the Service belong to the Company.
2. Except as expressly provided in these Terms, the permission to use the Service under these Terms does not grant any right in the Company's Intellectual Property Rights, etc. relating to the Service. The Customer may not use the Service beyond the manner of use the Service contemplates.
3. The Customer shall not reverse engineer, decompile or disassemble the Service, or otherwise attempt to analyze it.

### Article 10 (Submitted Information)

1. The Customer continues to hold the Intellectual Property Rights, etc. in Submitted Information after submission. The Company may reproduce, adapt, automatically transmit to the public (including making it transmittable as necessary for that purpose) and otherwise use Submitted Information, only to the extent necessary to provide the Service to the Customer.
2. The Customer warrants that it has the lawful right to submit the Submitted Information and that the Submitted Information does not infringe the rights of the Company or any third party.
3. The Company deletes Submitted Information after a retention period of 30 days following the end of the Agreement. After the Agreement for the Service ends, the Company bears no liability whatsoever for any damage incurred by the Customer or any third party in connection with the retention, deletion, backup, etc. of Submitted Information.
4. The Company does not access Submitted Information except where the Company judges that access is for one of the following purposes:
     - (1) the Customer has requested it in connection with a support issue;
     - (2) it is unavoidable in order to prevent or deal with a system problem of the Service.
5. The Company will make commercially reasonable efforts to manage Submitted Information securely. However, because the Service is an electronic service using the internet, which inherently carries risks of loss, alteration, destruction, etc. of information, the Customer shall back up Submitted Information at its own responsibility. The Company bears no liability whatsoever, including for restoring Submitted Information, for any damage the Customer suffers from failing to make such backups.
6. The Company does not disclose or publish Submitted Information to any third party without the Customer's consent. However, when it receives a formal request based on laws and regulations from a public authority such as a court or the police, or when required under legal procedures, the Company may disclose or publish all or part of the Submitted Information without the Customer's consent. The Company is not obliged to disclose the reasons for that judgment.

### Article 11 (Prohibited Acts)

In using the Service, the Customer shall not engage in any act that falls under, or that the Company judges to fall under, any of the following:

- (1) acts that violate laws and regulations;
- (2) acts related to crime;
- (3) acts contrary to public order and morals;
- (4) acts that violate the internal rules of an industry association to which the Customer belongs;
- (5) acts that infringe the Intellectual Property Rights, etc., privacy, honor, credit, portrait rights or any other rights or interests of the Company or a third party;
- (6) acts that interfere with the operation or maintenance of the Service;
- (7) acts that place an excessive load on the network, systems, etc. of the Service;
- (8) unauthorized access to the network of the Service;
- (9) impersonating a third party;
- (10) falsifying information available through the Service;
- (11) any dealings with or involvement in Anti-Social Forces, etc. (meaning organized crime groups, members of organized crime groups, right-wing groups, anti-social forces and persons equivalent to them; the same applies hereinafter), such as cooperating in or being involved in their maintenance, operation or management;
- (12) registering or providing information or data containing harmful programs;
- (13) overlooking, or failing to correct, any act by a User falling under any of the preceding items;
- (14) directly or indirectly causing or facilitating any act in the preceding items;
- (15) any other act the Company judges inappropriate.

### Article 12 (Termination, etc.)

1. If the Customer falls under, or the Company judges that the Customer falls under, any of the following, the Company may, without prior notice, suspend all or part of the use of the Service or terminate the Agreement. The Company is not obliged to disclose the reasons for that judgment.
     - (1) the Customer has violated any provision of these Terms;
     - (2) the Customer has failed to pay all or part of the usage fees;
     - (3) the Customer is found to fall under any item of Article 4, paragraph 3;
     - (4) the Customer has suspended payments or become unable to pay, or a petition has been filed for the commencement of bankruptcy, civil rehabilitation, corporate reorganization or special liquidation proceedings, or any similar proceedings;
     - (5) a petition has been filed for attachment, provisional attachment, provisional disposition, compulsory execution or auction;
     - (6) the Customer is delinquent in paying taxes and public charges and has been subject to a preservation attachment;
     - (7) the Customer has been dissolved or has suspended its business;
     - (8) in addition to items (4) to (7), the Company judges that a material change has occurred in the Customer's credit standing;
     - (9) the Customer does not respond to the Company's inquiries for a long period, or cannot be contacted;
     - (10) the Company otherwise judges the Customer's use of the Service to be inappropriate.
2. If the Customer falls under, or the Company judges that the Customer falls under, any item of the preceding paragraph, the Customer loses the benefit of time for all obligations owed to the Company and shall immediately perform all of its obligations to the Company.
3. Even while the Customer's use of the Service is suspended under paragraph 1, the Customer remains obliged to pay the usage fees as long as the Agreement continues.
4. The Company bears no liability whatsoever for any damage incurred by the Customer as a result of actions taken by the Company under this Article.

### Article 13 (Contract Term)

1. The Agreement starts on the date determined when it is concluded. The term of the Agreement differs for each contract.
2. Unless either the Customer or the Company gives notice, at least 30 days before the expiration date of the contract term, that the Agreement will end without renewal, the Agreement is renewed on the same terms for the same period, and the same applies thereafter.

### Article 14 (Suspension of the Service)

1. The Company may suspend the provision of the Service for business reasons, system overload, system malfunction, maintenance, the enactment, amendment or abolition of laws, natural disasters, accidents, power outages, communication failures, unauthorized access or any other reason.
2. As a rule, the Company does not accept requests for emergency suspension from the Customer or any third party.
3. The Company bears no liability whatsoever for any damage incurred by the Customer or a third party because the Company suspended, or was unable to suspend, the Service.

### Article 15 (Discontinuation of the Service)

The Company may discontinue the provision of the Service. In that case, the Company shall give notice a reasonable period in advance by a means the Company provides.

### Article 16 (Dispute Handling and Damages)

1. If the Customer causes damage to the Company in connection with use of the Service, the Customer shall compensate the Company for that damage.
2. If the Company receives a claim from, or has a dispute with, a third party in connection with the Customer's use of the Service, the Customer shall handle the claim or dispute at its own expense and responsibility, report its progress and outcome to the Company, and compensate the Company for any amount the Company was compelled to pay and any other damage.
3. The Company is not involved in, and bears no responsibility for, the Customer's PC and smartphone usage environments. The Company bears no liability for any damage arising from changes to the content of, interruption of or termination of the Service.
4. The Company compensates the Customer for damage caused in the provision of the Service only where the Company caused the damage intentionally or through gross negligence. The Company's disclaimers in these Terms do not apply where the Company acted intentionally or with gross negligence.
5. Where the Company is liable to compensate the Customer for damage (including in the case of the preceding paragraph or by application of law), the compensable damage is limited to ordinary damage actually incurred by the Customer (excluding special damage, including lost profits), and the amount is limited to the total usage fees actually paid by the Customer to the Company for the most recent 12 months up to the time the damage occurred (or, if the contract term is shorter than 12 months, for that contract term). This Article applies to all claims for damages, etc., regardless of the cause of action, including non-performance of obligations, liability for non-conformity with the contract, restoration obligations, unjust enrichment and tort.

### Article 17 (Confidentiality)

Except with the Company's prior written consent, the Customer shall not use information that the Company has disclosed to the Customer in connection with the Service and designated as confidential for any purpose other than the purpose of the disclosure, and shall not disclose it to any third party.

### Article 18 (Handling of Personal Information)

The Company handles personal information appropriately in accordance with the Company's "Privacy Policy".

### Article 19 (Changes to These Terms)

1. The Company may change these Terms at any time for any reason, and the Customer agrees to this.
2. Unless the Company determines otherwise, the Company notifies the Customer of changes to these Terms by posting them on the Website or on the Service.
3. Changes to these Terms take effect from the date specified in the notice under the preceding paragraph.
4. When changing important matters such as usage fees, the Company shall endeavor to give the notice under the preceding paragraph a reasonable period before the date specified under the preceding paragraph.
5. If the Customer does not agree to a change to these Terms, the Customer's only remedy is to terminate the Agreement before the end of its term. If the Customer does not terminate the Agreement by the date specified in the notice under paragraph 2, the Customer is deemed to have agreed to the change to these Terms.

### Article 20 (Communications)

The Company communicates with the Customer by sending documents, sending emails, posting on the Service or the Website, or any other means the Company deems appropriate. Where a communication is made by email or by posting on the Service or the Website, it is deemed to have reached the Customer at the time it is distributed over the internet.

### Article 21 (Assignment of Contractual Position, etc.)

1. The Customer may not assign, transfer, pledge as security or otherwise dispose of its contractual position under the Agreement, or its rights and obligations under the Service, to any third party without the Company's prior written consent.
2. If the Company transfers the business relating to the Service to a third party (including not only an ordinary business transfer but also a company split and any other case in which the business is succeeded to), the Company may, in connection with that transfer, transfer to the transferee its contractual position under the Agreement, its rights and obligations under the Service, and the Registration Information, Submitted Information, personal information and other information. The Customer consents to such transfer in advance.

### Article 22 (Entire Agreement)

These Terms constitute the entire agreement between the parties concerning the Agreement. Any agreement relating to the Agreement made between the parties before the conclusion of the Agreement, whether written, oral or in any other form, is superseded by these Terms.

### Article 23 (Severability)

Even if any provision of these Terms is held illegal, invalid or unenforceable under law or by a court, the remaining part of that provision and the other provisions of these Terms remain in effect. The part held illegal, invalid or unenforceable is replaced by the valid provision closest to its intent, or is interpreted reasonably so that it becomes the valid provision closest to its intent.

### Article 24 (Exclusion of Anti-Social Forces)

1. The Company and the Customer each make the following representations and warrant that they will continue to comply with them in the future:
     - (1) that it is not an organized crime group (boryokudan), a company affiliated with an organized crime group, a corporate racketeer (sokaiya), any person equivalent to any of them, or a member of any of them (collectively, "Anti-Social Forces");
     - (2) that none of its officers (meaning members executing business, directors, executive officers or persons equivalent to them) or employees is an Anti-Social Force;
     - (3) that it does not conclude this contract by letting Anti-Social Forces use its name;
     - (4) that it will not, by itself or through a third party, engage in any of the following acts:
           - a. threatening behavior or violence against the other party;
           - b. obstructing the other party's business or damaging its credit by deception or force;
     - (5) that it will not engage in any transaction with Anti-Social Forces and will have no business relationship with them.
2. If either the Company or the Customer falls under any of the following, the other party may terminate the Agreement under these Terms without any demand:
     - (1) a fact contrary to the representations in the preceding paragraph is discovered;
     - (2) after the conclusion of the contract, the party itself, or any of its officers or employees, becomes an Anti-Social Force.

### Article 25 (Governing Law)

The validity, interpretation and performance of these Terms are governed by the laws of Japan, and these Terms shall be interpreted in accordance with the laws of Japan.

### Article 26 (Jurisdiction)

If a dispute arises between the Customer and the Company in connection with the Service, the Tokyo District Court shall be the court of exclusive agreed jurisdiction for the first instance.
